Clear terms designed for a long-term relationship.

Commercial itemAmount or triggerWhat it covers or means
One-off registration fee$3,500 + GST
$3,850 including GST
Covers contractor resourcing, assessment, verification, registration setup and onboarding. Payable with Part 1 and earned as these services are supplied. It is not a security deposit. No annual renewal or ongoing registration fee. Changing your mind does not automatically entitle you to a full refund (Terms clause 9).
Conditional work guarantee$100,000 excluding GST over 18 monthsConditional on genuine participation and proper performance. APIS guarantees qualifying completed, fully paid and undisputed jobs during the period starting at Part 2 completion. Count approved payments cleared within this period, excluding GST. Offers, unfinished, unpaid and disputed work are excluded. Voluntary withdrawal or valid termination for contractor default before the anniversary ends the future guarantee (Terms clauses 8 and 17).
Attendance ruleThree confirmed strikes in 12 monthsA strike is a confirmed, avoidable failure to attend an appointment you accepted in writing. A warning follows the first and a final warning the second; a third results in termination. Genuine safety, emergency and APIS- or client-caused absences are excluded (Terms clause 8).
No ongoing fees$0 service, commission or allocation feesYou invoice APIS at agreed rates. APIS separately prices client work; its margin does not reduce your approved payment.
Invoice payments14 calendar days after invoice receiptAPIS reviews each invoice within five business days and must itemise any error, missing evidence or dispute. Undisputed amounts remain due on the original date, regardless of client payment. The review is not final approval of workmanship.

Automatic registration refund

If you remain eligible and qualifying work is below $100,000, the full $3,850 including GST is refundable on your 18-month anniversary, and APIS must pay it within 14 calendar days afterwards. No application or administration charge applies, although a lawful, evidenced set-off may. Reaching $100,000 does not trigger a refund. This refunds your registration fee, not the work shortfall.

Contractors retain all legal, licensing, safety, quality and compliance responsibilities.

Only appropriately licensed, registered or authorised practitioners may perform or sign regulated work.

APIS may verify information and approve, conditionally approve, defer or decline an application.

Registration is non-exclusive and does not reserve territory or a particular job. The work guarantee and registration-fee refund apply only as set out in the Terms and Conditions.

The completed-and-paid work guarantee is conditional on genuine participation and proper performance. Clauses 8, 9 and 17 explain withdrawal, contractor default, fee retention and refunds.

Contractor service feeNone
Job paymentsUndisputed amounts due within 14 calendar days after invoice receipt, subject to clause 16

The summary is read together with the detailed clauses below.

1. Terms and Conditions and Privacy Policy

1.1APIS means Alliance Property & Infrastructure Services Pty Ltd, ABN 36 698 179 994. You or the contractor means the legal entity named in the registration record, including a trade contractor or service provider. APIS Contractor Connect means APIS’s contractor registration, accreditation and work coordination program.

1.2Each registration covers one named legal entity and operating base and its approved services. The $100,000.00 guarantee is the combined total for that registration, not a separate guarantee for each service category. Separately accepted registrations have separate fees, completion dates and work totals. APIS must obtain your written agreement before creating an additional paid registration.

1.3All amounts are Australian dollars. GST means Australian goods and services tax. A business day excludes Saturdays, Sundays and public holidays at your registered operating base. Calendar days include those days. Dates and times use that base’s local time. For the guarantee, the base recorded at Part 2 completion remains the reference even if you later move. Mandatory statutory definitions and deadlines prevail where applicable.

1.4APIS must supply this version, its Privacy Policy and the complete Part 2 checklist before requesting payment. The application must prominently identify the fee, change-of-mind rules, conditional guarantee, participation requirements and three-strike attendance rule. You accept through an authorised written acceptance or express registration checkbox. An enquiry or preliminary information alone is not acceptance.

1.5These terms, the registration record and accepted written work orders form the agreement. APIS must give you a copy of the version accepted. These terms apply to new registrations accepting this version. An existing registration changes only by both parties’ written agreement; publishing this version does not retrospectively vary an existing contract.

1.6For a registration governed by this version, these 17 clauses replace the previous APIS Contractor Connect terms and any inconsistent commercial wording in flyers, website summaries, onboarding material or standard purchase-order conditions. A work order may define job scope, rates and delivery requirements, but cannot reduce or override the registration, guarantee, refund or payment rights in these terms.

1.7A change requires an express written agreement between authorised representatives of both parties identifying the provision changed. Continuing to use a website, accepting a routine work order or receiving an updated policy does not by itself vary these terms. Mandatory law takes priority over the agreement.

1.8APIS must explain its collection and handling of personal information in the Privacy Policy supplied before payment. Each party must comply with applicable privacy law and take reasonable steps to protect information against misuse, loss and unauthorised access or disclosure. Providing information does not release APIS from responsibility for its own conduct or authorise unrelated marketing or unrestricted disclosure.

2. Provision of Information

2.1You must provide true, accurate, complete and current information about your business and the work you are authorised and able to perform. Do not impersonate another person, conceal the contracting entity or misrepresent qualifications, affiliations or experience. Correct an identified inaccuracy promptly.

2.2You must have authority to supply information about your personnel and subcontractors. APIS may check licences, insurance and references for relevant verification purposes. Each party must promptly notify the other of a material security incident affecting shared information and cooperate with required response and notification measures.

2.3APIS must provide access to your registration and qualifying-work records on request under clause 17.10, subject to lawful restrictions and protection of unrelated third-party information. Account closure does not remove those rights. Each party must retain records required by law or reasonably needed for outstanding obligations or disputes, and securely delete or de-identify information when retention is no longer lawful or necessary. Confidentiality obligations survive termination.

3. Assumption of Risk

3.1You are responsible for managing the operational risks within your control when delivering accepted work, including your work methods, personnel and equipment. This does not transfer APIS’s own legal duties or responsibility for its conduct to you. Neither party assumes all risk merely by using Contractor Connect or accepting work.

3.2APIS must supply available site information, known hazards, agreed access arrangements and relevant instructions. Each party retains its own statutory safety duties and must consult and cooperate with other duty holders where required. You must assess job risks, use required safe work documents and stop unsafe or unlawful work. Notify APIS promptly. A genuine safety refusal is not a strike or default. Contractor-created hazards or unsafe practices may separately constitute a breach under clauses 8 and 13.

3.3Neither party is responsible for a delivery delay to the extent caused by an event outside its reasonable control that could not reasonably have been avoided, if it promptly gives notice and minimises the effect. This does not excuse payment for completed work. It does not pause or extend the 18-month period. A genuine event of this kind is not, by itself, a contractor default or reason to remove the guarantee.

4. Code of Conduct

4.1You are responsible for your personnel, supervision, taxes, equipment and operating costs, except costs APIS agrees to pay under a work order or obligations the law places on APIS. Subcontracting an APIS job requires prior written approval, which APIS must not unreasonably withhold where the proposed subcontractor meets the disclosed requirements. Approval does not release you from responsibility for your work.

4.2Act professionally and do not offer improper inducements, misrepresent your status, submit false records, misuse another user’s account or interfere with APIS systems. Disclose a material conflict of interest before accepting affected work.

4.3Do not bypass APIS by soliciting, arranging or accepting direct payment or a direct contract for an APIS-authorised job, its variations or a specific opportunity introduced in confidence by APIS, without APIS’s written approval. Do not use APIS confidential pricing, client records or site access to divert that work. Refer a client’s request to deal directly for that work to APIS before agreeing. This does not restrict your pre-existing clients, independently obtained unrelated work, general advertising or authorised site and emergency communication. Deliberate diversion is a material breach; APIS may seek an injunction and recover proven loss under clause 6, without an automatic fixed penalty.

4.4Accept a job only when you have the required people, licences, equipment and ability to meet its attendance and completion requirements. Keep APIS informed of progress, delays, incidents, damage and unexpected conditions. Notify an immediate safety threat immediately; report other material incidents within 24 hours of becoming aware, or as soon as reasonably practicable if an emergency prevents this. Protect people, property, keys, access codes and client information. Provide the agreed completion records and return client property when required.

4.5Protect access credentials and promptly report suspected unauthorised access. Do not upload malicious code, infringe third-party rights or access information without authority. If a portal is unavailable, submission of notices, invoices and records by the agreed email address remains available. A system outage does not change payment or refund deadlines.

4.6Do not use APIS systems or the working relationship to distribute unlawful, threatening or defamatory material, engage in unlawful discrimination or harassment, or infringe another person’s rights. These requirements do not prevent lawful complaints, protected disclosures, reporting to regulators or enforcement of your rights.

5. Law Enforcement

5.1Each party must comply with applicable law and valid court orders, subpoenas and other compulsory legal processes. APIS may disclose registration, work or system records to police, regulators or another authorised body where disclosure is required or permitted by applicable law.

5.2A request from an authority does not create unrestricted permission to disclose personal or confidential information. APIS must reasonably verify the request and its legal basis, disclose only information relevant to that basis, protect unrelated information and keep an appropriate record of the disclosure.

5.3Where lawful and practicable, APIS must notify you of a disclosure materially affecting you, unless notification is prohibited or would reasonably prejudice a lawful investigation, protected disclosure or a person’s safety. Lawful cooperation with an authority does not itself extinguish accrued payment rights or the clause 17 guarantee and refund.

6. Limitation of Liability

6.1Each party is responsible, to the extent provided by law, for loss caused by its breach, negligence or unlawful conduct and that of personnel for whom it is legally responsible. Responsibility is reduced to the extent the other party caused or contributed to the loss. Each party must take reasonable steps to minimise loss.

6.2Each party indemnifies the other against a third-party claim only to the extent caused by the indemnifying party’s breach, negligence or unlawful conduct. Recoverable costs must be reasonable and properly incurred. The party seeking indemnity must give prompt notice and a reasonable opportunity to participate in the defence; it must not agree a settlement at the other party’s expense without consent, which must not be unreasonably withheld. No indemnity covers loss caused by the party seeking it.

6.3The conditional work guarantee, fee settlement and refund rules are in clauses 8, 9 and 17. Those express provisions determine whether a registration refund is due; a general disclaimer cannot override them. APIS’s separate right to recover contractor-caused loss is subject to this clause and the lawful deduction rules in clauses 16.9 and 17.17. No loss may be recovered twice.

6.4Nothing excludes, restricts or modifies a statutory guarantee, payment right, remedy or liability that cannot lawfully be excluded, restricted or modified, including applicable rights under the Australian Consumer Law and security-of-payment legislation. No general statement that work is at your sole risk overrides those protections or APIS’s own responsibilities.

7. Links to Other Sites

7.1External website links are provided for convenience. Linking does not itself endorse another business or transfer responsibility for its content to APIS. This does not exclude liability for APIS’s own statements, conduct or express obligations.

7.2A third-party website may have its own terms and privacy practices. Those terms do not change this APIS agreement or reduce APIS’s express payment, guarantee or refund obligations. APIS must not knowingly present an external resource in a misleading way.

8. Termination

8.1Registration continues until ended. Either party may end it on 14 calendar days’ written notice, effective at the end of the 14th day after receipt or a later date in the notice. Accepted work must be completed, lawfully cancelled or transferred under a written handover. Ending registration does not cancel payment for authorised work. The fee and guarantee consequences depend on the reason for ending and are stated below.

8.2APIS may immediately suspend affected work, allocation or access where reasonably necessary to protect people, property, client information or lawful operations. Grounds include an evidenced serious safety risk, unlawful work, missing mandatory credentials, reasonably suspected material fraud or a security incident. APIS must give written reasons within two business days, identify the restriction and reinstatement requirements, and review supplied evidence within five business days. Suspension must be proportionate and last no longer than necessary. Suspension alone does not cancel a refund or extend the guarantee period.

8.3For a material breach that can be remedied, the affected party must give written particulars, supporting evidence, the remedy required and at least ten business days to remedy it before terminating. A material breach is a serious failure affecting safety, lawful delivery, payment, confidentiality, client protection or participation in the program. It includes false credentials or invoices, unlawful or seriously unsafe work, abandonment of accepted work, deliberate diversion under clause 4.3, failure to rectify a material defect, repeated participation failure under clause 17.4, or failure to pay an undisputed amount. A minor error, genuine complaint, lawful payment suspension or justified refusal is not a material breach.

8.4If you voluntarily end registration before the anniversary, other than because of APIS’s unremedied material breach, your future contractual work-guarantee refund ends on the effective termination date. The same applies if APIS validly terminates before the anniversary for your material breach, including a third confirmed attendance strike under clause 8.8. APIS may retain the registration fee earned under clause 9. It cannot automatically retain unearned money as a punishment. An accrued refund, payment for proper work and non-excludable statutory rights remain enforceable, subject to lawful recovery and set-off. If termination and the anniversary fall on the same day, assess the guarantee first.

8.5If APIS ends registration or refuses or withdraws accreditation for reasons not caused by your material breach, it cannot use that decision to defeat the guarantee. After Part 2 completion, the original anniversary assessment continues unless APIS refunds the remaining registration fee earlier. If you terminate because APIS has failed to remedy its material breach under clause 8.3, the remaining registration fee is refundable within 14 calendar days after termination. Before Part 2 completion, clause 9 governs the fee settlement. Payment, lawful recovery, record access, confidentiality, deliverable-use rights and accrued rights survive as needed.

8.6An attendance strike is a confirmed, avoidable failure to attend an appointment you accepted in writing, by the agreed time or within the agreed attendance window, without an agreed reschedule. A late arrival counts only if it defeats the appointment or causes a material service failure. A missed appointment caused by APIS or the client, unavailable site access, a genuine safety concern, lawful suspension, sudden illness, a genuine emergency or another unavoidable event is not a strike. Notify APIS as soon as reasonably practicable and provide reasonably available evidence. Routine overbooking, choosing another job or failing to arrange ordinary staffing is not an excuse.

8.7APIS must send the proposed strike, appointment details and supporting evidence within five business days after it becomes aware of the incident. You have five business days after receipt to respond. APIS must consider the response and issue a reasoned confirmation or withdrawal within five business days after that response period. A client allegation alone is not conclusive. One missed appointment counts once; repeated calls or complaints about it do not create additional strikes.

8.8Three confirmed attendance strikes within any rolling 12-month period measured by the missed appointment dates result in termination by written notice. The first confirmed strike carries a written warning and the second a final written warning stating the consequence of a third. The second and third incidents must each occur after the preceding warning was received. The third decision takes effect when received, after the clause 8.7 response process. APIS may require a corrective attendance plan after the first or second strike. A serious incident may justify earlier action under clause 8.9.

8.9APIS may terminate immediately on evidenced fraud, theft, deliberate diversion of an APIS job, intentional serious misuse of client information, or an irremediable material breach making continued performance unlawful or seriously unsafe. Immediate termination must be proportionate and necessary; suspected misconduct permits protective suspension and investigation, not automatic forfeiture. APIS must state the facts and reasons in writing and consider any readily available explanation before deciding, unless immediate action is necessary to prevent serious harm. Mandatory insolvency and other legal restrictions prevail.

8.10You may request review of a strike or default decision by an APIS manager who did not make it. APIS must provide a reasoned response within ten business days of the request. Protective suspension may continue while justified. APIS bears the burden of supporting its contractual default decision with evidence; the decision is open to the dispute process and external review. An overturned termination must restore the contractual guarantee position and any money wrongly retained. A lawful complaint or challenge is not an additional breach.

8.11On suspension or termination, secure affected sites, protect unfinished work, return keys and credentials, and provide the existing completion, safety and handover records required for the accepted work. APIS may appoint another competent contractor to protect the client or complete or rectify work. You are responsible only for reasonable, evidenced additional costs and other recoverable loss caused by your breach, after deducting unpaid original work costs, savings, insurance recoveries and other recoveries for the same loss. APIS must mitigate loss and cannot recover a windfall or duplicate amount. A payment dispute does not authorise withholding client keys, access credentials or safety-critical records.

9. Payment

9.1The one-off registration fee is $3,850.00 including GST ($3,500.00 plus $350.00 GST), payable with Part 1. It pays for contractor resourcing, application assessment, document verification, registration setup and onboarding. It is not a security deposit for job performance. APIS must provide a tax invoice and receipt. The fee is earned as the promised services are actually supplied; payment alone does not make the whole fee earned.

9.2There is no annual registration renewal fee and no ongoing registration fee. APIS does not charge you a contractor service fee, commission or work-allocation fee, whether invoiced separately or deducted from your approved job payments.

9.3APIS separately agrees charges with its clients. Client pricing does not reduce the approved amount payable to you. The contractual work-shortfall refund is governed by clause 17. Change-of-mind withdrawal, incomplete applications and contractor-default fee settlements are governed by clauses 9.4 to 9.8. Statutory cooling-off periods, consumer guarantees and other non-excludable rights take priority.

9.4Changing your mind, choosing not to complete Part 2 or deciding the program no longer suits you does not create an automatic right to a full refund. You may withdraw by written notice, but APIS may retain the amount earned for registration services already supplied and unavoidable, reasonable third-party verification costs under clauses 9.6 and 9.7. Once the full registration service has actually been supplied, the fee is not refundable merely because you withdraw. A work-guarantee refund arises only under clause 17; lawful rights for APIS’s breach or non-excludable rights remain available.

9.5Job invoices are governed by clause 16. A registration dispute does not by itself justify withholding a proper job payment. Any set-off must comply with clause 16.9 or 17.17, as applicable.

9.6For an application closed before the full registration service has been supplied, APIS must give a fee account within ten calendar days after closure or withdrawal. The maximum retention is the lesser of the fee paid and the sum of documented direct staff costs for application-specific work already done plus unavoidable third-party verification costs reasonably incurred. Staff cost means actual recorded time multiplied by the employee’s actual employment cost per hour, including statutory employment on-costs; for an external assessor, the actual invoiced cost. Do not add general marketing costs, duplicate charges, unperformed work, speculative future profits or a separate cancellation penalty. Deduct saved costs and recoveries. APIS must supply an understandable task and cost breakdown and return the unused balance within 14 calendar days after closure or withdrawal.

9.7The full registration service is supplied only when APIS has completed the promised assessment and checks, provided the assessment outcome, created the registration and compliance record, recorded services, coverage, rates and capacity, and delivered the required onboarding access and operating instructions for an approved contractor. APIS must identify those completed deliverables in writing. Where they have all been supplied properly, the agreed $3,850.00 service price is earned; later voluntary withdrawal or valid termination for contractor default does not itself reverse that earned fee. A deemed Part 2 completion date is not proof that APIS has supplied these services.

9.8APIS may close an incomplete application only after written notice specifying the missing items and giving at least 14 calendar days to supply them. An agreed extension or delay caused by APIS must be allowed for. Closure for non-completion or materially false information uses the clause 9.6 fee account. If APIS declines an accurate application for a commercial reason unrelated to your failure to meet disclosed requirements, it must refund the fee paid within 14 calendar days of the decision. APIS cannot obtain payment using requirements it knows you cannot meet and then retain the fee for that reason. Any greater refund required by law or APIS’s breach remains payable.

10. APIS CONTRACTOR CONNECT Registration Prequalification

10.1The registration record identifies your legal entity, operating base, approved services, service area, normal operating hours, agreed rates, available crews and practical job capacity. It records capacity available to APIS without requiring exclusivity. These details are supplied through the standard registration process; a separately negotiated territory is not required. APIS must provide the record and correct identified errors. An administrative delay does not move the Part 2 completion date.

10.2Part 1 comprises the preliminary registration form, acceptance of these terms and payment of the registration fee. APIS must acknowledge receipt, confirm the payment and provide Part 2 submission instructions within five business days after receiving the completed Part 1 and cleared payment. The Part 2 checklist must already have been supplied before payment.

10.3Your Part 2 completion date is the date APIS receives your completed Part 2 form and all information and documents required by that checklist for your nominated services. Where a checklist item permits a not-applicable response, a completed explanation satisfies that submission requirement, subject to accreditation review.

10.4APIS has five business days after receipt to give an itemised notice of missing checklist items. Without a notice, Part 2 is treated as complete on the original receipt date for the guarantee clock only. With a timely notice, completion occurs on receipt of the last missing item. APIS may still verify authenticity and require correction of false, expired or legally inadequate evidence; it cannot use routine processing delay to restart the clock. Deemed completion is not accreditation approval and does not prevent action for proven non-compliance.

10.5Later administrative requests, renewed documents, internal processing and accreditation approval do not postpone or restart the guarantee period. You must nevertheless cooperate with relevant verification and maintain legal eligibility. Material misrepresentation, refusal to provide essential evidence after notice, or failure to maintain mandatory credentials may lead to suspension or termination under clause 8 and loss of future contractual guarantee eligibility under clause 17.4. APIS cannot treat its own delay or a new undisclosed commercial requirement as your default.

10.6APIS must confirm your completion date and 18-month anniversary in writing within five business days after completion is established. Your submission acknowledgement, upload record or other reliable delivery evidence may establish receipt. APIS’s failure to confirm does not change the date.

10.7Written APIS accreditation approval is required before work begins. APIS may verify your identity, qualifications, references, licences, insurance, safety systems and capacity against the requirements relevant to your approved services. It must explain a refusal or restriction in writing and identify the requirements not met.

10.8You must maintain the licences, registrations, permits, qualifications, insurance and competent personnel required by law and the requirements disclosed before you accept the relevant work. APIS accreditation does not replace a statutory licence or independent certification and does not certify compliance with every law.

10.9APIS may seek further evidence for a changed legal requirement or a particular client job. A new requirement must be relevant and disclosed before you accept affected work. You may decline work you cannot lawfully or safely perform. Accreditation decisions do not pause the clock; only the defined withdrawal and contractor-default rules can end future contractual guarantee eligibility. No work may begin before written approval.

10.10Keep your availability and capacity information accurate. Notify APIS promptly of a material reduction, planned closure or inability to meet accepted commitments; give advance notice where practicable. Accept only commitments you can fulfil. Changing a record does not cancel an already accepted job or excuse an avoidable earlier failure. A genuine temporary emergency is assessed fairly under clauses 3 and 8; it is not automatic forfeiture. If you voluntarily withdraw the capacity recorded as available to APIS, or repeatedly fail to respond to suitable opportunities, APIS may issue a clause 8.3 notice only where it identifies specific suitable work this has materially prevented it allocating. The notice must state the participation needed and allow at least ten business days to restore it. An isolated missed response or genuine temporary emergency is insufficient. APIS cannot claim default merely because it has no work to offer.

11. Intellectual Property Rights

11.1Each party retains ownership of its pre-existing intellectual property, tools, templates, methods and materials. You grant APIS and the relevant client a non-exclusive licence to use job reports, photographs and other agreed deliverables for the property, work, maintenance, compliance and claims purposes for which they were supplied. Any different ownership or broader licence must be expressly agreed in writing before the work.

11.2APIS grants you permission to use its job information and systems only as needed to perform the agreement. Neither party may use the other’s branding to imply an unauthorised endorsement. Use of APIS branding must stop when accreditation ends, except where reasonably needed in retained records.

12. Disclosure of Information

12.1Information supplied must be accurate, complete and current. Promptly notify APIS of material changes affecting your ability to work, including licence restrictions, insurance cancellation, significant incidents, relevant enforcement action, insolvency risk or changes to the contracting entity. APIS must correct an identified record error or explain its position within five business days.

12.2Each party must protect confidential business and personal information obtained through the relationship and use it only for registration, verification, work delivery, administration, dispute handling or lawful obligations. Disclosure is permitted to personnel, professional advisers, insurers, verification providers and clients who need it for those purposes and are subject to appropriate confidentiality duties, or where lawfully required.

13. Warranties

13.1Each party warrants that it has authority to enter and perform this agreement and to supply or authorise use of the information and materials it provides. You warrant that your registration declarations and representations about capability are accurate when made and will be corrected if a material change occurs.

13.2Deliver accepted work with reasonable care and skill, safely, lawfully and to the agreed scope, specifications and completion requirements. Use appropriately qualified and supervised personnel, suitable materials and maintained equipment. Comply with applicable licences, permits, building and trade requirements, safety and environmental duties, and lawful disclosed site rules. Provide required test results, certificates and completion evidence. You are responsible for your employees and approved subcontractors. APIS accreditation does not transfer these responsibilities to APIS.

13.3APIS may inspect work, require completion evidence and reject work that does not meet the agreed requirements. It must identify the defect or incomplete item, available evidence, the correction required and a reasonable completion deadline. You must acknowledge a non-urgent notice within two business days, propose a rectification plan within five business days and complete rectification by the reasonable deadline in the notice. The deadline must reflect safety, client impact, access, the nature of the defect and practical supply requirements. Correct work for which you are responsible at your own cost. A genuine disagreement may use clause 14 but does not excuse urgent protective action.

13.4APIS must perform registration, administration and coordination with reasonable care and skill and comply with its payment obligations and conditional guarantee. Each party retains applicable statutory warranties and guarantees. Client inspection, invoice processing, payment, use of work or registration closure does not by itself waive defective-work claims or statutory obligations.

13.5APIS may immediately secure a site, make it safe or appoint another competent contractor where action cannot reasonably wait, you are unavailable, or you refuse or fail to rectify by a reasonable notified deadline. APIS need not leave a client exposed while awaiting your response. Give notice beforehand where practicable and reasons and records promptly afterwards. APIS may recover reasonable, evidenced inspection, make-safe, completion, rectification and directly resulting property-damage costs to the extent caused by your breach. No betterment, duplication or amount caused by APIS or the client may be charged to you.

13.6Payment or invoice acceptance is not final certification of quality and does not release a defect, overpayment, fraud or incomplete-work claim, whether the issue was apparent or discovered later, unless a valid express settlement releases that identified claim. Statutory warranty and limitation periods apply; there is no five-business-day cutoff for defect claims. This does not retrospectively undo a statutory payment entitlement or permit an unlawful deduction. Recovery and payment schedules must comply with clause 16 and the law where work is performed.

13.7Maintain required insurance and promptly notify relevant insurers of incidents where required by the policy. Cooperate with inspections, investigations and lawful insurance claims; preserve relevant records and evidence. APIS may require removal of unsuitable personnel from an affected site for evidenced safety, competence or serious conduct reasons and require a competent replacement. Persistent or serious unsafe practice, refusal to rectify or material non-compliance may justify action under clause 8. A client’s unsupported dissatisfaction alone does not prove a breach.

14. Miscellaneous

14.1You operate an independent business. The agreement does not create employment, a partnership or authority to bind APIS. Each party remains responsible for statutory obligations that apply regardless of this description. You may work for other clients. Registration is non-exclusive and does not reserve a territory or a fixed number of contractor positions.

14.2A party raising a dispute must provide particulars, evidence and the outcome sought. Authorised representatives must seek to resolve it within ten business days after receipt. Mediation may be agreed but is not a prerequisite to statutory adjudication, urgent relief, debt recovery or another non-excludable right. APIS’s decision is not conclusive. A dispute alone does not suspend an undisputed payment or refund; any lawful withholding or set-off must meet clauses 16.9 and 17.17.

14.3Send registration questions and formal notices to enquiry@apis.net.au. Send invoices to the work-order address or, if none is stated, enquiry@apis.net.au. APIS sends notices to your nominated registration email. Each party must keep its contact details current. An email is received when it is capable of retrieval at the nominated address, provided the sender has not received a delivery-failure notice. A telephone conversation alone does not vary the agreement.

14.4For contractual periods expressed as a number of days after receipt or an event, do not count the day of receipt or the event. Payment deadlines expressed in calendar days are not extended for weekends or public holidays. The guarantee period and anniversary are determined exclusively under clause 17.2. Mandatory statutory rules take priority.

14.5Changes require both parties’ express written agreement under clause 1. A waiver must be specific and in writing; delay in enforcing a right does not itself waive it. If a provision is unenforceable, it is severed only to the extent necessary and the remainder continues where it can lawfully operate. No entire-agreement or priority provision excludes liability for misleading conduct or another non-excludable right.

14.6The agreement is governed by the laws of Victoria and applicable Commonwealth laws, without displacing mandatory laws of the place where work is performed. The parties submit to the non-exclusive jurisdiction of Victorian courts; this does not prevent a claim in another competent court, tribunal or statutory payment forum.

14.7APIS contact details: Alliance Property & Infrastructure Services Pty Ltd; ABN 36 698 179 994; Head office: Level 30, Collins Place, 35 Collins Street, Melbourne VIC 3000, Australia; telephone 1300 175 645; email enquiry@apis.net.au; website www.apis.net.au.

15. Assignment

15.1Neither party may transfer this agreement or its performance obligations without the other’s written consent, which must not be unreasonably withheld where the transfer does not materially prejudice that party. No transfer releases APIS from payment or guarantee obligations without your express written agreement. A transfer or entity change does not itself restart the guarantee or create another fee.

16. Invoice payments

Work orders and prices

16.1APIS must issue a written work order or purchase order before work begins. It must identify the registration, scope, site, attendance requirements, agreed price or rates, approved expenses, completion evidence and the APIS contact authorised to approve changes. Work must be within your approved services and recorded service area unless both parties agree otherwise in writing before acceptance.

16.2A request for a quote, inspection price or availability does not authorise chargeable work. You may decline an unaccepted job, subject to the participation conditions in clause 17.4. A quotation or inspection charge needs written approval. A time-and-materials order must state rates, charging units and any limit; unused budget is not payable. Written acceptance commits you to the stated attendance, scope and completion requirements.

16.3APIS pays the approved work-order price plus applicable GST. Labour, minimum attendance charges, after-hours rates, travel, materials, equipment and third-party costs must be stated or agreed before they are incurred. Operator labour and equipment charges must be described so the same charge is not duplicated.

16.4Obtain written APIS approval before changing scope, price or the spending limit. If the law or an express APIS emergency instruction requires immediate action, take only the necessary lawful action within your competence, notify APIS as soon as practicable and record the circumstances and costs. APIS must pay reasonable, evidenced costs of work it directs or that the law requires you to perform in carrying out the authorised job. Permanent repairs beyond a make-safe instruction require separate approval.

16.5If APIS cancels an accepted order, it must pay for work properly completed and reasonable, evidenced, non-recoverable commitments previously authorised for that order, less amounts reasonably avoided or recovered. A cancellation payment for unperformed work does not count toward the guarantee.

Invoices and payment

16.6APIS pays undisputed amounts within 14 calendar days after receiving your invoice. Send it to the address stated in the work order, or enquiry@apis.net.au if none is stated. Identify your legal entity, ABN, invoice date and number, work-order number, completed work or authorised stage, amount claimed, applicable GST and payment details. Include the completion evidence required by the work order and a valid tax invoice where applicable.

16.7APIS must review an invoice within five business days after receipt and give an itemised written notice of any error, missing evidence, defective or incomplete work, unauthorised charge or other genuine payment dispute. State the affected amount, the proposed payment and each reason with available supporting evidence. That review period is an administrative target, not a shortened statutory payment-schedule deadline or automatic final approval of workmanship. Any statutory schedule must be served within the applicable statutory period or an expressly agreed shorter payment-schedule period. The due date for undisputed amounts remains 14 calendar days after receipt.

16.8A timely and lawful dispute affects only the justified amount. Pay the undisputed balance by its original due date. A corrected or resolved amount is payable within 14 calendar days after the necessary correction is supplied or the dispute is resolved, unless an earlier contractual or mandatory date applies. An internal review cannot create an indefinite hold, require reissue of unaffected invoices or make payment conditional on the client paying APIS. Missing a statutory deadline has the consequences imposed by that law; these terms do not cure it.

16.9APIS may withhold or deduct a disputed amount for defective, incomplete, unauthorised or overvalued work only to the extent supported by evidence, this agreement and applicable payment law. A statutory payment schedule must state every required reason and the calculation.

A separate debt may be set off only where presently due, sufficiently quantified and legally available for set-off; give written details of the basis, amount and evidence, and at least five business days to respond before deduction, without extending a mandatory payment deadline. Either party may exercise equivalent lawful set-off rights.

Do not deduct a speculative reserve, duplicate loss or a claim against another legal entity. Statutory restrictions and adjudicated or court-ordered payments prevail. A disputed set-off is open to external review; repay an unjustified deduction promptly, with any interest required by law.

Payment is made when cleared funds reach the nominated account, except to the extent settled by an agreed or binding set-off. APIS must give an itemised remittance.

16.10A defect discovered after invoice acceptance or payment remains actionable under clause 13. APIS may require rectification, appoint a replacement where permitted and pursue reasonable evidenced loss. Later discovery does not retrospectively change a payment due date or revive a missed statutory schedule deadline. A later lawful claim or set-off is assessed under clause 16.9; payment is not a release of that claim.

16.11Nothing in this invoice process limits statutory payment claims, payment schedules, adjudication, lawful suspension, recovery rights or mandatory payment deadlines. The security-of-payment and other mandatory laws applicable to the work take priority. A contractual notice is not a substitute for a statutory payment schedule unless it satisfies the applicable law.

17. Guarantee

Work guarantee and period

17.1Subject to the participation and default conditions in clauses 8 and 17.4, APIS guarantees $100,000.00 excluding GST in qualifying completed, fully paid and undisputed APIS work during the initial 18-month period for each registration. If the total is below that amount and you remain eligible, the full registration fee is refundable under clauses 17.12 to 17.17. This is a conditional work guarantee. Offers alone do not satisfy it.

17.2The guarantee period starts on your Part 2 completion date and ends at the end of the day immediately before the date 18 calendar months later. That later date is your 18-month anniversary. If there is no corresponding day in the later month, its last calendar day is the anniversary. For example, completion on 15 October 2026 gives an anniversary of 15 April 2028 and a period ending on 14 April 2028.

17.3The guarantee concerns the combined qualifying total over the period. It does not promise a fixed weekly allocation, first-job date, exclusive territory or profit margin. APIS’s demand changes, client cancellations, administrative delay or inability to find suitable work do not reduce the threshold or extend the period. A contractor’s deliberate obstruction or material default is addressed through the express notice and termination process, not by treating unperformed work as paid work.

17.4To retain the future contractual guarantee, complete registration honestly, maintain required credentials, keep capacity information accurate, participate in suitable work opportunities and perform accepted work properly. You may decline unsafe, unlawful, unsuitable or out-of-scope work, an offer outside recorded hours or capacity, or a genuine emergency conflict without penalty.

A suitable offer must be client-authorised, available for allocation, within recorded services, area, rates, hours and declared available capacity, and state scope, value and attendance requirements. It must allow at least two full business days to respond unless you accept a shorter period. APIS cannot rely on overlapping offers that exceed capacity or speculative budgets.

Three unjustified refusals within 90 calendar days, each later refusal occurring after a written warning about the earlier one, may constitute material failure to participate. A refusal is unjustified only where APIS establishes that those suitability conditions were met and no genuine reason outside your reasonable control existed. Silence alone is not a refusal.

APIS must use clause 8.3, allow ten business days to restore genuine participation and consider your evidence before terminating. One declined job does not cancel the guarantee.

Future eligibility ends only on the effective voluntary withdrawal or valid contractor-default termination described in clause 8.4; an allegation, suspension or ordinary dispute alone does not end it.

17.5The guarantee applies once to the initial 18-month period for that registration. Continuing registration after that period does not create a new guarantee or fee unless you expressly agree to a separate registration in writing.

Qualifying work and statements

17.6Qualifying work must be authorised by APIS in writing, properly completed within the guarantee period and fully paid within that period. The counted amount must not remain genuinely disputed at the cutoff. A separately approved stage or separately identifiable approved invoice item may count independently if it is complete, fully paid and unaffected by the dispute. A deposit or arbitrary percentage payment is not a completed stage. Lawful settlement of an approved invoice by an agreed or binding set-off counts as payment to that extent; an unresolved unilateral deduction does not.

17.7Add the approved amounts paid for qualifying work, leaving out GST. Include approved labour, materials, travel, equipment and variations. Subtract agreed credits or amounts repaid for that work before the period ends. Example: an approved $11,000 invoice including $1,000 GST contributes $10,000. An agreed $1,100 credit including $100 GST reduces the contribution to $9,000. Do not include the registration fee, its refund or other clients’ work. Count each job, stage or item once, against the registration in its work order.

17.8Quotes, forecasts, offers, declined or cancelled work, unfinished work and unpaid amounts do not count. A partly paid job does not count as a completed whole; only an identifiable approved and fully paid completed stage or item can count under clause 17.6. Work paid after the cutoff does not count for this period. You must submit required completion records and invoices promptly and must not deliberately delay them to create a guarantee shortfall. Proven deliberate obstruction is a material breach subject to clause 8; a genuine invoice dispute or lawful claim is not.

17.9A genuine dispute identifies a specific issue about scope, quality, completion, authorisation, overcharging or the amount owed, with an evidence-based reason. It may arise from a substantiated client complaint but is between APIS and you for this calculation. APIS must describe it in writing promptly and comply with applicable payment law. Unsupported dissatisfaction, a claim manufactured to alter the guarantee total, an unrelated dispute or the client not paying APIS is insufficient. Exclude only genuinely affected work. Unaffected completed and fully paid approved stages or identifiable items still count. A later defect claim does not erase properly qualifying work at the cutoff unless an agreed adjustment or lawful determination establishes that it did not qualify then.

17.10APIS must provide a running statement within five business days after each three-month interval and a final statement within five business days after the anniversary. Show qualifying work, excluded items and reasons, credits, payments and any reasoned eligibility decision. Supply supporting work orders, invoices and payment records within five business days of a request, subject to lawful redaction. The final calculation uses the position at the end of the period; it does not create a later cutoff.

17.11An administrative delay or missing statement does not postpone a refund that is due. You may challenge a work-total or eligibility error under clause 14 without a contractual forfeiture window. APIS must prove a claimed default or lawful deduction; it cannot defeat the guarantee simply by labelling you non-compliant, raising a late unsupported complaint or backdating termination. An accrued entitlement remains payable unless a lawful set-off, fraud recovery or binding determination changes it.

Automatic registration fee refund

17.12If you remain eligible and the qualifying total is below $100,000.00 excluding GST at the end of the period, the full $3,850.00 registration fee including GST becomes refundable on the 18-month anniversary. APIS must pay it within 14 calendar days after that anniversary. Any shortfall produces the full refund, not a proportionate amount, subject to prior fee refunds and a lawful set-off under clause 17.17. Example: for an anniversary of 15 April 2028, payment must reach the verified account by 29 April 2028.

17.13No claim form is needed for an eligible guarantee refund. APIS must arrange automatic payment within the clause 17.12 deadline. No routine processing, administration or cancellation charge is deducted from that guarantee refund. Weekends and public holidays do not extend the calendar-day deadline. A documented lawful set-off is different from an administration charge and must meet clause 17.17.

17.14You must provide and keep current an account in your legal entity’s name or an otherwise verified account you are authorised to nominate. APIS must request and verify details before payment is due. If payment is impossible solely because you have not supplied valid details after a timely request, the debt remains due without forfeiture or deduction. APIS must complete reasonable verification and pay within two business days after receiving valid details and any reasonably necessary evidence of authority requested without delay. APIS cannot use its own delay to extend the deadline.

17.15Deduct any registration fee already returned from the refund balance; the same fee is refundable once only. Later ordinary job payments, subsequent termination or routine dispute resolution do not retrospectively remove a refund properly accrued at the anniversary. APIS may recover a refund obtained by fraud, duplicate payment or demonstrable payment error through lawful recovery processes. Provide any required GST adjustment document without making it a precondition to an otherwise due payment.

17.16If qualifying work reaches $100,000.00 excluding GST or more by the cutoff, no refund arises under the work guarantee. Reaching the threshold does not itself trigger a refund. The contractual remedy for APIS’s qualifying work shortfall is the registration-fee refund, not a cash payment of the difference up to $100,000.00. Outstanding job payments, a separate breach and non-excludable remedies remain separate.

17.17A refund does not itself end registration. APIS may set off a presently due, evidenced and sufficiently quantified debt owed by the same contractor entity against a registration refund only where the law permits. This may include an established overpayment or recoverable rectification, replacement or property-damage costs under clauses 6, 8 and 13.

APIS must first give the contractual basis, itemised calculation and supporting evidence, allow at least five business days for a response and consider it. Pay any unaffected refund balance by the original due date.

Do not hold the full fee as a reserve for a possible future claim. A disputed debt is not made conclusive by APIS’s notice; the contractor may challenge it, and any unjustified deduction must be repaid promptly. Any law treating the money as performance security, and its notice or recourse requirements, takes priority despite the fee’s description in clause 9.1.

FAQ's

Frequently asked questions

These FAQs explain registration, accreditation, work orders, payment and the work guarantee across all APIS trade and service categories.

Our commitment

APIS provides a conditional guarantee of $100,000.00 excluding GST in qualifying completed, fully paid and undisputed work within 18 months of Part 2 completion. Eligible contractors receive the full registration fee refund if APIS falls short, payable within 14 calendar days after the anniversary. Genuine participation, proper performance and the withdrawal and default rules apply. The remedy is a registration-fee refund, not a cash top-up to $100,000.00.

All amounts are in Australian dollars. Business days exclude weekends and public holidays at your registered operating base; calendar days include them. Your accepted Terms and Conditions govern the registration and work arrangements. Rights that cannot lawfully be excluded remain protected.

Understanding the offer

1. What is APIS Contractor Connect?

APIS Contractor Connect is the contractor registration, accreditation and work coordination program operated by Alliance Property & Infrastructure Services Pty Ltd. APIS coordinates property repairs, maintenance and infrastructure services. For an authorised job, APIS issues the work order, you deliver the agreed work and invoice APIS, and APIS separately charges its client. Registration covers assessment, verification and onboarding into that working relationship.

2. Which trades and services do these arrangements cover?

These arrangements apply across all APIS trade and service categories. The registration fee, work guarantee and refund rules are consistent across those categories. Your registration identifies the services you are approved to perform. The licences, insurance, qualifications, safety documents and equipment required depend on those services and the work you accept.

3. What types of work can APIS arrange?

Work can include reactive repairs, planned and preventative maintenance, inspections, compliance activities, after-hours emergency attendance, make-safe work, upgrades and projects. Individual assignments vary in size, complexity and duration. You may accept work within your approved capabilities, qualifications and agreed service area. The work guarantee covers the combined qualifying value over the guarantee period; it does not promise a particular job mix, property type or individual assignment.

4. What is the registration fee and what does it cover?

The one-off fee is $3,850.00 including GST ($3,500.00 plus $350.00 GST), payable with Part 1. It pays for contractor resourcing, assessment, verification, registration setup and onboarding. APIS supplies the terms, Privacy Policy and Part 2 checklist before payment, then a tax invoice and receipt. Changing your mind does not automatically produce a full refund. The fee is earned as APIS actually supplies the registration services; questions 13 and 28 explain early closure and withdrawal.

5. Are there ongoing fees or deductions from my job payments?

There is no annual renewal fee or ongoing registration fee. APIS does not charge you a contractor service fee, commission or work-allocation fee, either separately or as a deduction from approved job payments. APIS agrees its charges with its clients separately. Its client pricing does not reduce the approved amount payable to you for your work.

6. Am I buying an exclusive territory or a reserved contractor position?

No. Registration is non-exclusive and does not reserve a territory or a fixed number of contractor positions. You remain an independent business and may work for other clients. Your registration records your approved services and service area; each work order identifies the work offered. These arrangements do not create employment, a partnership or authority to bind APIS.

Registration and accreditation

7. How do I complete registration?

Part 1 consists of your preliminary registration, express acceptance of the terms and payment of the registration fee. Provide your legal entity and contact details together with your payment receipt. APIS must acknowledge receipt, confirm payment and supply Part 2 submission instructions within five business days after receiving the completed Part 1 and cleared payment. You then submit the full Part 2 form and the checklist documents. Written accreditation approval is required before work begins.

8. What information and documents do I need for Part 2?

Use the complete checklist supplied before payment. It covers business details, services, operating base and service area, operating hours, available crews and capacity, rates, licences, insurance, safety systems, experience, references and declarations. Provide accurate supporting documents. A not-applicable answer is sufficient only where the checklist permits it. Written accreditation is required before work starts. Keep capacity and compliance information current; payment is not approval.

9. Exactly when is Part 2 complete?

Your completion date is the date APIS receives your completed Part 2 form and all information and documents required by the checklist supplied before payment. It is not the payment date, first-job date or accreditation approval date. APIS must confirm your completion date and 18-month anniversary in writing within five business days after completion is established. Keep your submission acknowledgement, upload record or other reliable delivery evidence.

10. What happens if my Part 2 submission is incomplete?

APIS has five business days to identify missing checklist items in writing. If it does not, Part 2 is treated as complete on its original receipt date for the guarantee clock only. A timely missing-item notice moves completion to receipt of the last missing item. This does not approve accreditation or excuse false, expired or legally inadequate documents. APIS may close an incomplete application after an itemised notice and at least 14 calendar days to supply what is missing. The fee settlement in question 13 applies.

11. Can accreditation or further document requests delay the guarantee?

Administrative processing, later document requests and accreditation approval do not pause or restart the 18-month clock once Part 2 is complete. You still need written approval before working. You must cooperate with relevant checks and maintain required credentials. Proven material misrepresentation or unremedied failure to provide essential evidence can lead to valid termination and loss of the future contractual guarantee. APIS cannot treat its own delay or a new undisclosed commercial requirement as your default. A justified refusal of unsafe, unlawful or unsuitable work is protected.

12. How do multiple trades, branches and service areas affect registration?

Each registration covers one named legal entity and operating base, with its approved services and recorded service area. The $100,000.00 guarantee is the combined total for that registration, not $100,000.00 for each trade or service. Separately accepted registrations have separate fees, completion dates and work totals. APIS must obtain your written agreement before creating an additional paid registration. Each qualifying job or stage is counted once against the registration identified in its work order.

13. Can I withdraw before completing Part 2?

You may withdraw in writing, but changing your mind or not completing Part 2 does not entitle you to an automatic full refund. APIS may retain documented direct assessment staff costs and unavoidable third-party verification costs already incurred, up to the fee paid. It must give a task and cost account within ten calendar days and return any unused balance within 14 calendar days after withdrawal or closure. No speculative future profits or separate cancellation penalty is added.

Once APIS has actually delivered the complete assessment, verification, registration setup and onboarding service, the $3,850.00 service fee is earned and is not refunded merely because you withdraw. APIS must evidence those completed services. An incomplete application may be closed only after an itemised notice and at least 14 calendar days to respond. APIS’s breach and any non-excludable refund or cooling-off rights remain separate. See clauses 9.4–9.8.

The work guarantee

14. What exactly does APIS guarantee?

APIS provides a conditional guarantee of $100,000.00 excluding GST in qualifying completed, fully paid and undisputed work within the initial 18 months from Part 2 completion. You must participate honestly, maintain required credentials and perform accepted work properly. A valid termination for contractor default or voluntary withdrawal before the anniversary ends the future contractual guarantee; a mere allegation or suspension does not. If you remain eligible and APIS falls short, the full registration fee is refundable. Offers alone do not count. The $100,000.00 is approved work revenue, including approved job costs, not profit.

15. How are the 18 months and refund anniversary calculated?

The period starts on your Part 2 completion date and ends at the end of the day immediately before the date 18 calendar months later. That later date is your anniversary. If the later month has no corresponding day, its last calendar day is the anniversary. For example, completion on 15 October 2026 gives a period ending on 14 April 2028 and an anniversary of 15 April 2028. The operating base recorded at completion determines local time, even if you later move.

16. Is a first-job date or regular weekly workload guaranteed?

No particular first-job date, weekly allocation, job mix or profit margin is promised. The commitment is the qualifying $100,000.00 total over 18 months for an eligible registration. Demand changes, client cancellations and APIS’s administrative delay do not lower the threshold or extend the period. The refund and contractor-default conditions are explained in questions 22–28.

17. Which jobs and charges count towards the $100,000.00?

Add the approved amounts paid for qualifying completed work, excluding GST. Include approved labour, materials, travel, equipment and variations. Subtract agreed credits or repayments made before the period ends. For example, an $11,000 invoice including $1,000 GST contributes $10,000. A later agreed $1,100 credit including $100 GST reduces that contribution to $9,000.

Work must be authorised, completed and fully paid within the period. A genuinely disputed part is excluded, but unaffected completed and fully paid approved stages or identifiable invoice items can count. Count each amount once against its work-order registration. The registration fee, its refund and other clients’ work are excluded.

18. Do offers, deposits, part-payments or unfinished jobs count?

Offers, forecasts, declined or cancelled work, unfinished work and unpaid amounts do not count. A partly paid job cannot count as a completed whole. An approved, identifiable completed stage or invoice item can count independently if fully paid and not genuinely disputed. A deposit or arbitrary percentage payment is not a completed stage. Lawful settlement by an agreed or binding set-off counts as payment to that extent; an unresolved unilateral deduction does not. Cancellation payments for work never performed are excluded.

19. What if a completed job is paid after the guarantee period ends?

Ordinarily it does not count: completion and payment must both occur within the period. APIS still owes the proper job payment, and a later payment does not cancel a refund already properly due. Submit completion records and invoices promptly. Deliberately delaying them to manufacture a refund shortfall can be a material breach, addressed through the notice and termination process. A genuine invoice dispute or lawful payment claim is not misconduct.

20. What makes a job disputed for the guarantee calculation?

A genuine dispute identifies a specific, evidence-based issue about scope, quality, completion, authorisation, overcharging or the amount owed. A substantiated client complaint can support it; APIS must explain it in writing and comply with the payment process and applicable law. An unsupported assertion by either party does not exclude otherwise qualifying paid work.

Only genuinely affected work is excluded. Unaffected approved, completed and fully paid stages or identifiable items still count. A client’s failure to pay APIS is not a work defect. Deliberately fabricating a dispute or evidence can lead to default action. A genuine disagreement does not itself cancel the guarantee.

21. How can I check my qualifying work total?

APIS provides a running statement within five business days after each three-month interval and a final statement within five business days after the anniversary. It shows qualifying work, exclusions and reasons, credits and any reasoned eligibility decision. Supporting work orders, invoices and payment records are available within five business days of a request, with lawful confidentiality redactions. The cutoff remains the end of the original period, and a late statement does not postpone a refund that is due.

22. Can I decline work without affecting the guarantee?

You may decline an unaccepted job, but repeated unjustified refusal of suitable work can jeopardise your future contractual guarantee. A suitable offer must be genuine and client-authorised, fit your recorded services, area, rates, hours and declared available capacity, and state the scope, value and attendance requirements. You normally receive at least two full business days to respond. APIS cannot overload your capacity with overlapping offers.

One refusal does not cancel the guarantee. Three unjustified refusals within 90 calendar days, each later refusal after a written warning about the earlier one, may lead to a material-breach notice. APIS must give evidence and at least ten business days to restore genuine participation before terminating. Silence alone does not count as refusal. Unsafe, unlawful, unsuitable or out-of-capacity work and genuine emergencies are not unjustified refusals.

Declined work never counts as paid work. Client cancellations, genuine safety concerns and suspension alone do not pause the period or cancel the guarantee. Valid termination for your material breach or voluntary withdrawal before the anniversary ends future eligibility. Accepted appointments are also subject to the three-strike attendance rule in question 53.

You cannot avoid participation simply by withdrawing declared availability or repeatedly ignoring suitable opportunities. APIS must identify specific work this has prevented it allocating and allow at least ten business days to restore participation before terminating under clause 8.3. Genuine temporary emergencies and isolated missed responses are excluded.

Registration refunds

23. What happens if APIS falls short by even a small amount?

For an eligible registration, any qualifying total below $100,000.00 excluding GST at the cutoff triggers the full $3,850.00 refund including GST, less any fee already refunded and any lawful set-off. The amount is not proportional to the shortfall. Eligibility is assessed on the 18-month anniversary and payment is due within 14 calendar days afterwards. Contractor withdrawal and valid default termination are dealt with in question 28.

Qualifying work excluding GSTEligible registration refund
$0.00$3,850.00 including GST
$70,000.00$3,850.00 including GST
$99,999.99$3,850.00 including GST
$100,000.00 or moreNo refund under the work guarantee
24. Do I receive a refund when my work reaches $100,000.00?

No refund arises under the guarantee if the final qualifying total is $100,000.00 excluding GST or more. Reaching that figure does not itself trigger a refund. Your registration can continue, and the guarantee does not automatically restart. Rights relating to a separate breach or rights that cannot lawfully be excluded remain available.

25. Do I need to apply for the anniversary refund?

No claim form is required for an eligible guarantee refund. APIS must pay automatically within 14 calendar days after the 18-month anniversary. For example, an anniversary of 15 April 2028 gives a payment deadline of 29 April 2028. There is no routine administration or cancellation deduction from this refund. A lawful, evidenced set-off must meet the separate requirements in question 54. Weekends and public holidays do not extend the calendar-day deadline.

26. What if my refund bank details are missing or have changed?

Keep your nominated bank details current. The account must be in your legal entity’s name or otherwise verified as one you are authorised to nominate. APIS must request and verify the details before payment is due. If payment is impossible solely because you did not provide valid details after a timely request, the debt remains due. APIS must complete reasonable verification and pay within two business days after receiving valid details and any reasonably necessary authority evidence requested without delay. Its own delay cannot extend the deadline.

27. Will APIS pay the difference between my work total and $100,000.00?

No. The contractual remedy for an eligible work shortfall is the registration-fee refund, not a cash top-up to $100,000.00. For example, an eligible registration with $70,000.00 in qualifying work receives a $3,850.00 fee refund, subject to previous fee refunds and any lawful set-off, rather than a $30,000.00 top-up. Proper job payments, a separate breach and non-excludable remedies remain separate.

28. What happens to my fee and guarantee when registration ends?

If you voluntarily leave before the anniversary, other than because of APIS’s unremedied material breach, your future contractual guarantee ends on the effective termination date. The same applies when APIS validly terminates before the anniversary for your material breach, including a third confirmed attendance strike. APIS retains the earned registration service fee; unearned money is settled under clause 9 rather than automatically forfeited.

If APIS ends registration or refuses accreditation for reasons not caused by your material breach, the post-Part 2 anniversary assessment continues unless it refunds the remaining fee earlier. If you end because APIS has failed to remedy its material breach after proper notice, the remaining fee is refundable within 14 calendar days after termination.

A mere allegation, suspension or ordinary dispute does not remove eligibility. Already accrued refunds, proper job payments and statutory rights remain enforceable, subject to lawful recovery and set-off. A refund alone does not end registration; a fraudulent, duplicate or mistaken refund may be recovered lawfully.

Work orders and commercial rates

29. What will APIS give me before I start a job?

APIS must issue a written work order or purchase order identifying your registration, scope, site, attendance requirements, agreed price or rates, approved expenses, completion evidence and the APIS contact authorised to approve changes. Work must be within your approved services and recorded service area unless both parties agree otherwise in writing before acceptance. Check and accept the order before committing. A quotation request does not authorise chargeable work.

30. Can I use commercial hourly rates or fixed prices?

Yes, where agreed for the job. APIS pays the approved work-order price plus applicable GST. A time-and-materials order must state the rates, charging units and any spending limit. You invoice authorised work and costs under those agreed arrangements; the spending limit is not an entitlement to unused funds. A fixed-price order is paid at its approved price, with separately approved variations where applicable. There is no single universal rate for every trade or job.

31. Can I charge for travel, materials, call-outs and specialist equipment?

Yes, when those charges are stated in the work order or agreed before they are incurred. Agree labour rates, minimum attendance, after-hours rates, travel, material charges, equipment and third-party costs. Equipment charges may cover approved plant, access equipment, diagnostic equipment or other specialist equipment required for the job. Describe operator labour and equipment charges clearly so the same charge is not duplicated. Any charge for quoting or inspection also needs prior written approval.

32. What if the job needs extra work or exceeds its approved limit?

Obtain written APIS approval before changing the scope, price or spending limit. Send the reason, revised scope and cost to the authorised APIS contact. A client’s request alone does not replace APIS approval. Where the law or an express APIS emergency instruction requires immediate action, take only necessary lawful action within your competence, notify APIS as soon as practicable and record the circumstances and costs.

33. How do after-hours emergency and make-safe jobs work?

State your availability and emergency-response capability during registration. Each accepted order must define the required attendance, immediate make-safe scope, approved rates or spending limit and completion evidence. Make-safe work may involve controlling an immediate hazard, preventing further damage or securing an affected area, within your approved capability and any required licence. Permanent repairs beyond the make-safe instruction need separate approval. APIS must pay reasonable, evidenced costs it directs or the law requires in carrying out the authorised job.

34. What if APIS cancels an accepted job?

APIS must pay for work properly completed and reasonable, evidenced, non-recoverable commitments previously authorised for that order, less amounts reasonably avoided or recovered. A cancellation payment for work that was never performed does not count towards the guarantee. Completed work or a completed stage counts only if it independently satisfies the guarantee rules, including full payment within the period.

35. Can I keep my own clients and communicate with APIS clients?

Yes. You may keep pre-existing clients, independently obtained unrelated work and general advertising. Authorised site and emergency communication is allowed. You must not divert an APIS-authorised job, variation or specific opportunity introduced in confidence by APIS into a direct arrangement without written approval. Do not misuse APIS pricing, client information or site access. Refer direct-payment or direct-contract requests for that work to APIS. Deliberate diversion can result in termination, loss of future contractual guarantee eligibility and recovery of proven loss; it does not attract an automatic fixed penalty.

Invoices and payment

36. Who do I invoice and what must the invoice contain?

Invoice APIS at the address stated in the work order, or enquiry@apis.net.au if no address is stated. Include your legal entity, ABN, invoice date and number, work-order number, completed work or authorised stage, amount claimed, applicable GST and payment details. Include the completion evidence required by the order and a valid tax invoice where applicable. APIS must provide a remittance identifying the invoices paid.

37. When will APIS pay my invoice?

Undisputed amounts are due within 14 calendar days after APIS receives the invoice. Do not count the day of receipt. Calendar days include weekends and public holidays, and those days do not extend the deadline. Payment occurs when cleared funds reach your nominated account. For example, an undisputed invoice received on 1 November is due by 15 November. Any earlier mandatory statutory deadline takes priority.

38. What happens if APIS disputes an invoice?

APIS must review the invoice within five business days and identify any error, missing evidence, defective or incomplete work, unauthorised charge or genuine dispute, with the amount affected and its reasons. This review target is not final workmanship approval or a shortened statutory payment-schedule deadline. Any required statutory schedule must be served within the applicable legal period or an expressly agreed shorter schedule period.

Undisputed amounts remain payable within 14 calendar days of receipt. A corrected or resolved amount is payable within 14 calendar days of correction or resolution, unless an earlier date applies. APIS cannot impose an indefinite review hold. Lawful withholding or set-off must be evidenced and comply with the applicable payment law; missing a statutory deadline has the consequences imposed by that law.

39. Can payment wait until APIS is paid by its client?

No. APIS cannot make payment conditional on its client paying. It may dispute defective, incomplete, unauthorised or overvalued work through the proper payment process. A separate, presently due and sufficiently quantified debt may be set off only if legally available, with written evidence and notice under clause 16.9. There is no right to impose a speculative reserve, disregard an adjudicated payment or withhold another entity’s money. A client’s non-payment alone does not make otherwise qualifying work disputed.

40. What if a defect is discovered after invoice acceptance?

Invoice acceptance or payment does not release you from defective or incomplete work, overpayment, fraud or statutory warranty obligations. The five-business-day invoice review is not a deadline for discovering defects. APIS may require rectification at your cost where you are responsible. For a non-urgent notice, acknowledge it within two business days and propose a plan within five business days, then meet the reasonable rectification deadline.

APIS can act immediately to protect people or property, or use another competent contractor if you are unavailable, refuse to rectify or miss a reasonable deadline. APIS can recover reasonable, evidenced costs attributable to your breach, including necessary inspection, make-safe, rectification and resulting property damage, without double recovery or betterment. Payment deductions must comply with the law and clause 16.9. A later claim cannot retrospectively undo a statutory payment entitlement. A valid material-default termination can end future guarantee eligibility; an accrued refund is subject to lawful set-off, not automatic cancellation.

Responsibilities and information

41. What standards must I maintain and who manages safety risks?

Maintain the licences, insurance, competent personnel and equipment needed for accepted work. Meet the agreed scope, lawful site rules, safety duties and relevant building or trade requirements. Protect people, property and information, and provide required certificates and completion evidence. APIS retains its own legal duties and must supply available site and hazard information. A genuine safety refusal is protected; contractor-created hazards or serious unsafe practices may lead to suspension or termination. APIS may remove unsuitable personnel from an affected site for evidenced safety, competence or serious conduct reasons and require a competent replacement.

42. Can I use employees or subcontractors?

You remain responsible for your personnel, supervision, taxes, equipment and operating costs, except costs APIS agrees to pay or obligations the law places on APIS. Subcontracting an APIS job requires prior written approval. APIS must not unreasonably withhold approval where the proposed subcontractor meets the disclosed requirements. Approval does not release you from responsibility for the work or the need for competent, appropriately qualified workers.

43. What information and conduct does APIS expect?

Provide accurate information, disclose conflicts, keep credentials and capacity current, and accept only work you can deliver. Notify delays, damage and incidents promptly; report immediate threats immediately and other material incidents within 24 hours or as soon as reasonably practicable if prevented by an emergency. Protect client property, keys, credentials and records. False invoices, falsified credentials, deliberate job diversion, serious unsafe practices and abandonment can lead to termination and recovery of proven loss. Lawful complaints, protected disclosures and genuine payment disputes are not misconduct.

44. How are my personal and confidential business details protected?

APIS must provide its Privacy Policy before payment and explain how it collects and handles personal information. Information may be used for registration, verification, work delivery, administration, dispute handling and lawful obligations. Sharing is limited to people who need it for those purposes and are subject to appropriate confidentiality duties, or where lawfully required. Information submission does not authorise unrelated marketing or unrestricted disclosure. You can request registration and qualifying-work records, subject to lawful restrictions and protection of unrelated third-party information.

45. Can APIS provide information to police or regulators?

APIS may disclose information where required or permitted by applicable law, including valid compulsory legal processes. It must reasonably verify the request and legal basis, disclose only relevant information, protect unrelated information and keep an appropriate record. Where lawful and practicable, APIS must notify you of a disclosure materially affecting you, unless notification is prohibited or could prejudice a lawful investigation, protected disclosure or safety. Lawful cooperation does not itself extinguish accrued payments or guarantee rights.

46. Who owns reports, photographs, templates and branding?

Each party retains its pre-existing intellectual property, tools, templates and methods. You grant APIS and the relevant client a non-exclusive licence to use agreed job reports, photographs and deliverables for the property, work, maintenance, compliance and claims purposes for which they were supplied. Different ownership or broader use must be expressly agreed in writing before work. Neither party may use the other’s branding to imply an unauthorised endorsement; APIS branding use must stop when accreditation ends, except as reasonably needed in retained records.

47. Do external websites or a portal outage change my rights?

No. External websites may have their own terms and privacy practices, but these do not change the APIS agreement or reduce its express payment, guarantee or refund obligations. A link does not itself endorse the external business. If an APIS portal is unavailable, the agreed email address remains available for notices, invoices and records. An outage does not change payment or refund deadlines.

Changes disputes and contact

48. How can registration be suspended or ended?

Either party may ordinarily end registration on 14 calendar days’ written notice. A remediable material breach requires evidence and at least ten business days to remedy it. APIS can suspend affected work immediately where proportionate to a serious safety, legal, credential, fraud or security risk. Evidenced fraud, theft, deliberate job diversion or other qualifying irremediable serious misconduct can justify immediate termination. Three confirmed avoidable missed appointments trigger the separate process in question 53.

APIS must give reasons and consider your evidence. You can request review by a manager who did not make the decision, with a response within ten business days. Secure sites, return keys and provide required handover records. Proper job payments remain due; the reason and effective date of termination determine guarantee eligibility under question 28.

49. Can APIS change the terms or transfer the agreement?

A change requires an express written agreement between authorised representatives of both parties identifying the provision changed. A website update, routine work order, telephone discussion or continued use does not itself vary the agreement. Transfer of the agreement or performance obligations also requires the other party’s written consent, which must not be unreasonably withheld where there is no material prejudice. A transfer does not itself restart the guarantee or create another fee, and does not release APIS from payment or guarantee obligations without your express written agreement.

50. Which terms apply to my registration?

APIS must provide the applicable Terms and Conditions, Privacy Policy and complete Part 2 checklist before requesting payment, and give you a copy of the terms you accept. Your accepted terms, registration record and written work orders form the agreement. Existing agreements change only with both parties’ express written agreement. A routine work order or website update cannot reduce the registration, guarantee, refund or payment rights protected by your accepted terms.

51. How do I raise a dispute or challenge a work-total error?

Send written particulars, evidence and the outcome sought to enquiry@apis.net.au. Authorised representatives must seek resolution within ten business days. A strike or default decision can also be reviewed by a manager who did not make it. Mediation may be agreed but is not a prerequisite to adjudication, urgent relief, debt recovery or another non-excludable remedy. A dispute does not by itself stop an undisputed payment or refund; only a lawful withholding or set-off may affect it. Victorian and Commonwealth law govern, while mandatory laws where the work occurs and access to competent forums remain protected.

52. How do I contact APIS or start an application?

Email enquiry@apis.net.au or call 1300 175 645. Apply through the relevant APIS Contractor Connect trade or service website, or contact APIS for assistance. Head office: Level 30, Collins Place, 35 Collins Street, Melbourne VIC 3000. ABN: 36 698 179 994. Company website: www.apis.net.au.

Attendance and recovery protections

53. What happens if I accept jobs and do not attend?

A strike is a confirmed, avoidable failure to attend an appointment you accepted in writing. A materially ineffective late arrival can count; an agreed reschedule cannot. APIS or client fault, unavailable access, genuine unsafe conditions, lawful suspension, sudden illness or an unavoidable emergency are excluded. Routine overbooking or choosing another job is not an excuse. Notify APIS as soon as reasonably practicable and provide available evidence.

APIS gives the proposed strike and evidence within five business days of learning of the incident. You have five business days to respond; APIS then has five business days to confirm or withdraw it. The first confirmed strike brings a written warning and the second a final warning. A third confirmed strike within a rolling 12-month period measured by the missed appointment dates results in termination by written notice. Each later incident must occur after the preceding warning. One appointment cannot generate multiple strikes.

Valid termination before the anniversary ends your future contractual guarantee. APIS retains the registration fee already earned for services actually supplied; there is no automatic confiscation of unearned money or cancellation of statutory rights. Serious misconduct may justify earlier action under clause 8.9.

54. Can APIS recover losses or deduct them from a registration refund?

APIS may recover reasonable, evidenced loss caused by your breach, including additional completion, rectification or replacement costs and attributable property damage. It must deduct saved costs and other recoveries and cannot recover the same loss twice. A refund set-off requires a presently due, sufficiently quantified debt owed by the same contractor entity and a legal right to set it off. APIS must give the basis, calculation and evidence and at least five business days to respond.

The unaffected refund balance remains payable on time. APIS cannot hold the whole fee as a reserve for a possible claim or make its own decision conclusive. You can challenge the deduction; an unjustified amount must be repaid. Applicable security-of-payment and performance-security rules override inconsistent wording. The $3,850.00 fee is not a cap on liability for independently proven loss.
